Effective
Service terms
The basis on which Toah Ventures, a UK sole-trader website design and development business, agrees and delivers one-off projects.
Services and when a contract is made
We provide quote-led landing pages, business websites and small full-stack web applications. Current starting prices are £499.99 for a landing page, £999.99 for a business website and £3,499.99 for full-stack development, in GBP. These are indicative minimum prices, not unlimited scope or a final quote. We do not sell physical goods or subscriptions through this website.
Browsing, preparing or reviewing an enquiry is not an order or acceptance. Open email app prepares a message in your email app; you must send it there yourself. There is no live checkout or website payment processing.
A project contract is formed only when both you and we confirm in writing the quote or project agreement and these terms. Before you commit, we will provide the agreed documents, these terms and the cancellations and refunds policy in a durable copy you can keep, such as email text or an attachment. Using this site alone does not mean you accept a service contract.
What we agree before work starts
Your written quote or project agreement identifies the client and sets out:
- The scope, deliverables, exclusions, milestones and timetable.
- Review stages, included revision rounds and the content or access you need to supply.
- The total price in GBP, including any applicable tax, payment stages and due dates.
- Any hosting, domain, licence or other third-party costs and whether they are included.
- Handover files, access, documentation and the ownership or usage rights for final deliverables.
Any quote expiry is stated in that quote. We do not impose a standard deposit percentage, automatic price rise or an unstated tax charge. Agreed project details sit alongside these terms and cannot take away mandatory rights or the consumer protections in our refunds policy.
Our work, delivery and review
We carry out the agreed work with reasonable care and skill, within the agreed time or, if no time is agreed, a reasonable time. We keep you informed of material issues affecting delivery.
You review the work against the agreed brief and confirm the launch and handover decision. Silence is not automatic acceptance. Included revision rounds cover agreed design refinements; their limits do not restrict correcting our mistakes, a breach of contract or statutory faults, or your legal remedies.
If a delay occurs, we explain its likely effects and work with you to agree a revised timetable. This does not remove your remedies if we fail to meet the agreement.
Your content, feedback and access
Please provide an accurate brief, materials you have permission to use, timely feedback and the access reasonably needed for the agreed work. We agree a secure way to share access; do not send passwords or client end-user data through the contact form.
If essential inputs are materially missing, we explain what is needed and the effect on delivery, give reasonable notice and an opportunity to provide them, and may fairly pause the affected work until they are available. We agree the revised plan with you. A pause is not an automatic cancellation or forfeiture of your payments.
Changes to scope or terms
Extra features or other changes to the scope, price or timetable require prior written agreement by both parties before the extra work starts. We do not charge retrospectively for unapproved additions or increase the agreed fee unilaterally. Updates to these website terms apply prospectively to new contracts only; they do not rewrite an existing agreement without both parties agreeing in writing, subject always to mandatory law.
Prices, invoices and payment
We invoice at the stages and on the due dates agreed in your quote. The quote confirms applicable tax and any authorised third-party charges before you commit. There are no surprise subscriptions, automatically non-refundable deposits or refund-processing fees.
If you question an invoice, contact us so we can discuss the issue and try to resolve it in good faith. Nothing here removes any lawful right to withhold a disputed payment or use a remedy for defective or undelivered work. We do not impose an unagreed late-payment penalty.
Cancellation and payment adjustments follow the cancellations and refunds policy. Mandatory statutory rights prevail over any conflicting provision.
Ownership and licences
You retain ownership of the content and materials you supply and confirm that you have the permissions needed for us to use them for your project.
Once the agreed fees for the commissioned deliverables are paid, you receive the ownership or rights to use the bespoke final deliverables specified in the written quote. We identify those rights before you commit, and record any agreed copyright assignment in the written project agreement with the signatures required for that transfer.
Pre-existing code, reusable tools, open-source components and third-party materials retain their original ownership and licences. We identify relevant dependencies and any usage restrictions or additional licence costs before agreement, and provide the required licence information at handover. We do not claim to transfer ownership of third-party or open-source code.
We use your work in a portfolio or publish a testimonial only with your permission. Commissioning a project does not automatically authorise us to disclose confidential materials or use your name or work for promotion.
Hosting, third-party costs and handover
Domain registration, hosting and paid tools or licences are separate costs unless included in the written quote. Before any purchase, we confirm who owns the account or asset, who has access, the provider’s recurring charges and who is responsible for them. External services and links have their own terms.
We hand over the agreed files, access and documentation when the applicable agreed milestones are met. A payment dispute does not allow us to hold your own supplied assets or existing accounts hostage.
Ongoing hosting, maintenance or support needs a separate written agreement; a one-off project does not promise perpetual support. This does not reduce our responsibility to correct a failure under the agreed project or applicable law.
Privacy and confidentiality
Our privacy policy explains personal information handled through this website and business correspondence. Each party will protect the other’s confidential information with reasonable care and use it only for the agreed work, sharing it only where necessary with people bound by appropriate confidentiality duties, or as legally required.
If a project requires us to process client end-user personal data as a processor, we must agree appropriate separate written data-processing terms before handling that data. This site’s general privacy policy is not a substitute for those terms or a privacy notice for a client application.
Performance and third-party services
We remain responsible for the service and deliverables we promise. A website cannot guarantee sales, search rankings, Stripe or other payment-provider activation, or uninterrupted third-party services. If an external outage or event outside our reasonable control affects work, we explain the impact, take reasonable steps to reduce disruption and discuss a practical way forward. We remain responsible for our own fault, and you retain your rights if the agreed service is not provided.
Cancellations and refunds
The cancellations and refunds policy, effective 29 October 2026, provides the full cancellation process, optional model form, permitted charges and refund deadlines. You can cancel by clear email or postal notice using the contact details below. Before work starts, project payments are refunded in full.
After work starts, for business contracts or outside statutory cooling-off rights, charges are limited to agreed work actually completed before notice and separately authorised, unavoidable third-party costs already incurred that are not recoverable. We itemise charges, avoid double charging, keep the total within the agreed contract price and refund unused advances. The consumer rules take priority.
Consumers entering distance service contracts normally have 14 days after the day the contract is made to cancel. Early work requires an express request recorded in writing and the required cancellation information. A proportionate charge during that period is due only where the legal conditions are met. Starting alone does not end the right; it is lost on full performance only with the required prior express consent and acknowledgement.
Refunds due are made without undue delay and within 14 days of cancellation notice, or within 14 days of agreeing a service-remedy refund, using the original method unless you expressly agree otherwise, without refund fees. If we cancel and cannot deliver, the policy explains refunds for undelivered work, including a full refund if no usable agreed service was delivered because of our failure. Completion or a later change of mind does not remove remedies for faults or breach.
Problems and complaints
Email or write to us using the contact details below with enough information to explain the issue and the outcome you seek. We investigate and try to offer a reasonable remedy promptly, keeping you informed where further investigation is needed. You do not have to follow a special form, pay a complaint fee, use mandatory arbitration or complete this process before exercising your legal rights.
Our responsibility and your rights
We are responsible for reasonably foreseeable loss or damage caused by our breach of the agreement or failure to use reasonable care and skill. A loss is reasonably foreseeable if it is an obvious consequence of that failure or both parties knew it could happen when the contract was made.
We do not exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability or consumer right that the law does not allow us to exclude or limit. Consumers retain their rights to reasonable care and skill, repeat performance and an appropriate price reduction or refund where applicable.
Applicable law
Northern Ireland law governs the agreement, subject to any mandatory consumer protections in your place of residence. Consumers remain entitled to bring proceedings in the courts available to them by law; there is no requirement to use Northern Ireland courts exclusively. Nothing in these terms overrides mandatory rights. You can return to the homepage, read our privacy policy or view the full refunds policy.
